Terms of Service
Effective Date: 5 September 2026
These Terms of Service govern use of the Sparkify Social website and technology services. Project-specific proposals, statements of work, or signed agreements override these general website terms where there is a conflict.
Services — Sparkify Social may provide websites, web and mobile apps, custom software, AI systems, AI agents, automation, cybersecurity, UI/UX, enterprise software, and related technology services as described in an agreed project scope.
Client Responsibilities — Clients are responsible for providing timely, accurate information, access, approvals, decisions, and materials reasonably needed to perform the services.
Fees and Payment — Fees, payment schedules, taxes, and reimbursable costs are governed by the applicable proposal, statement of work, invoice, or signed agreement. Late payment may affect delivery schedules.
Changes in Scope — Requests outside the agreed scope may require a written change request, revised estimate, timeline adjustment, or separate agreement before work begins.
Intellectual Property and Deliverables — Ownership, licensing, assignment, and use of project deliverables are defined in the applicable project agreement. Unless otherwise agreed in writing, Sparkify Social retains rights in its pre-existing technology, reusable tools, methods, know-how, and materials.
Client Materials — Clients retain responsibility for the legality, accuracy, permissions, and rights associated with content, data, trademarks, documents, and other materials they provide.
Third-Party Services — Services may depend on third-party platforms, APIs, hosting providers, software, or integrations. Sparkify Social does not control their availability, policies, or changes.
Confidentiality — Each party should protect the other party’s confidential information and use it only as needed to perform or receive services, subject to applicable project agreements and law.
Artificial Intelligence — AI-enabled systems may generate variable or incomplete outputs. Clients remain responsible for human oversight, validation, and decisions where appropriate, especially for sensitive, financial, customer-facing, or high-impact use cases.
Prohibited Use — Clients may not use Sparkify Social services for unlawful, harmful, fraudulent, infringing, abusive, or unauthorized purposes, or in ways that violate applicable terms, rights, or laws.
Warranties and Limitation of Liability — Except where expressly agreed in writing, services are provided without guarantees of uninterrupted operation, specific commercial results, or suitability for every purpose. Liability is limited to the extent permitted by applicable law and any signed agreement.
Termination — Either party may terminate a project as provided in the applicable agreement. Accrued fees, responsibilities, confidentiality obligations, and relevant intellectual property provisions survive termination as applicable.
Governing Law and Changes to Terms — These terms are governed by the law identified in the applicable signed agreement or, where none exists, the law applicable to Sparkify Social. We may update these terms by posting a revised effective date.
